These Terms of Use (“Terms”) govern your access to and use of the Interstaff website and talent platform (the “Platform”), operated by Interstaff LLC (“Interstaff,” “we,” “our,” or “us”). By accessing or using the Platform, creating an account, submitting information, or otherwise engaging with our services, you agree to these Terms. If you do not agree, do not use the Platform.
1. Eligibility
You must be 18 years of age or older to use the Platform. If you use the Platform on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.
2. The Platform
Interstaff provides staffing and recruiting services and operates a Platform that presents candidate profiles to prospective employers and facilitates introductions and placements. Interstaff is a staffing intermediary. Interstaff is not the employer of candidates presented through the Platform, and nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and Interstaff.
3. Accounts
Certain features require an account. You agree to provide accurate and complete information, to keep your credentials confidential, and to be responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present risk to the Platform or its users.
4. Candidate Terms
Candidates are responsible for the accuracy of the information, résumés, and recorded interviews they submit. By submitting materials, you grant Interstaff the right to process, store, and present your profile and a selected interview clip to prospective employers and to use them to present your availability and the Platform, as described in our Privacy Policy. You may request removal of your profile or materials at any time, subject to applicable retention obligations.
5. Employer and Client Terms
Introductions to candidates are arranged through Interstaff. You agree to use candidate information obtained through the Platform only to evaluate and engage candidates through Interstaff, and not to solicit, contact, recruit, or engage a candidate introduced through the Platform outside of Interstaff in order to circumvent our services or fees. Candidate contact details are provided upon a confirmed engagement.
6. Acceptable Use
You agree not to misuse the Platform. You will not access it through automated means, scrape or harvest data, interfere with its operation or security, misrepresent your identity, post fraudulent listings, upload unlawful or infringing content, or use the Platform in violation of applicable law. We may remove content and restrict access to enforce these Terms.
7. Fees
Use of the Platform is free for candidates. Fees for staffing, recruiting, and placement services are set out in the applicable order form, statement of work, or Master Services Agreement between Interstaff and the client.
8. Intellectual Property
The Platform, including its content, design, and software, is owned by Interstaff and protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You retain ownership of the content you submit and grant Interstaff the rights described in these Terms and the Privacy Policy to operate the Platform and provide our services.
9. No Guarantee
Interstaff does not guarantee that any candidate will be placed, that any position will be filled, or that any particular result will be achieved through the Platform.
10. Third-Party Services
The Platform relies on third-party service providers and may link to third-party websites. Interstaff is not responsible for the content, policies, or practices of third parties. Your use of a third-party service is governed by that provider’s own terms.
11. Disclaimers
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
12. Limitation of Liability
To the fullest extent permitted by law, Interstaff will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Platform.
13. Indemnification
You agree to indemnify and hold harmless Interstaff from any claims, damages, liabilities, and expenses arising from your use of the Platform, your content, or your violation of these Terms or applicable law.
14. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute arising from these Terms, except where prohibited by applicable law.
15. Relationship to the Master Services Agreement
These Terms govern use of the Platform. Where Interstaff and a client enter into a Master Services Agreement, order form, or statement of work for staffing or recruiting services, that agreement governs those services and controls in the event of any conflict with these Terms as to those services.
16. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date. Your continued use of the Platform after updates are posted constitutes acceptance of the revised Terms.
